Terms of Use of the “Limited” App

1. General information

1.1 Valora Schweiz AG (“Valora” or “we”) operates various retail formats (“Formats”), such as “k kiosk”, “avec” and P&B. The “Limited” web app (“App”) is a Valora service that can be used via the web browser; it allows registered users to secure exclusive offers (“Deals”) limited in time and quantity and redeem them at participating points of sale by using a QR code. The App can be used exclusively via the web browser or as a web app and is not available in the App Stores of Google or Apple.

1.2 Use of the App requires acceptance of these Terms of Use.

1.3 The use of the app is only recommended from the age of 14. Certain deals and content, particularly those related to tobacco and alcohol products, are only accessible to users of legal age (18 and up) (cf. clause 3.4).

2. Registration

2.1 Creating a user account

The App can only be used following registration. Registration is free of charge and does entail any obligation to make a purchase. Once the user has completed the registration process, a user agreement is formed between Valora and the user, and the user account is activated.

Valora has the right to block the account in the event of a breach of these Terms of Use.

2.2 Required information

Registration requires the following personal data:

• a valid mobile telephone number (verification by SMS/telephone call)
• a valid email address

2.3 Verification and accuracy

When registering, the user must provide all requested data completely and truthfully and keep the data up to date during the period of use. Multiple accounts are prohibited. During registration, the mobile telephone number is verified by sending the user a confirmation code by SMS or telephone call.

2.4 Data protection

The data collected during registration will be processed in compliance with the Privacy Policy.

3. Campaigns within the App

3.1 General information

The App offers deals limited in time and quantity (“Deals”). There is no entitlement to the availability or execution of such campaigns or Deals.

3.2 Deals and coupons

• Only one Deal is available per user, on a “first come, first served” basis.
• Upon securing a Deal, the user receives a coupon in the App.
• Coupons are valid for a limited time only, usually for seven (7) days after the user secured the Deal. Valora reserves the right to set a different coupon validity period for each campaign.
• Coupons contain a QR code and indicate the format(s) in which they can be redeemed. If a certain format is specified (e.g. “k kiosk” or “avec”), the coupon can generally be redeemed at any point of sale in that format in Switzerland, provided that the advertised product is available at the point of sale in question.
• Coupons are non-transferable, non-assignable, and cannot be redeemed for cash.
• They cannot be combined with any other discounts unless expressly indicated otherwise.
• No comparison prices are given because the coupons are redeemable in various formats and points of sale, which sometimes offer different selling prices.

Product availability cannot be fully guaranteed at all the points of sale. It is therefore likewise impossible to guarantee that the coupon can be redeemed within the validity period in every case (early redemption is recommended, so that in the event of unavailability another point of sale can be located).

3.3 Welcome Deal

During registration, new users can secure a one-time Welcome Deal (subject to availability). This coupon is valid for a limited time only, usually for 30 days after the user secured the Welcome Deal. It contains a QR code to enable redemption at participating points of sale. Valora reserves the right to adjust the validity period.

3.4 Age restricted deals and advertising content

A prior age check is performed (“Soft Age Gate”) is performed before the App is launched and before tobacco or alcohol-related (advertising) content is displayed. Users are asked to confirm that they are at least 18 years of age. The response determines whether tobacco and alcohol deals will be displayed in the App, along with the associated advertising content. Such content will not be displayed to users who have failed to confirm that they are of legal age.

In addition, age verification (over 18) based on identification documents is required in order to actually purchase coupons for tobacco and alcohol products. The verification is carried out by an external, specialised service provider and may entail the examination of an identification document as well as temporary access to your device’s camera. Without successful age verification, tobacco and alcohol-related deals cannot be redeemed or used.

4. Rights of use with regard to the app and its contents

Valora hereby grants the user a non-exclusive, non-transferable, and non-sublicensable right to use the App for private purposes, provided that the user has accepted these terms of use and complies with them permanently and in full.

We (or our licensors) reserve ownership of all trademarks, copyrights materials, and other intellectual property rights in the App design, text, images, sounds/music, data, information, logos, software codes, and other materials. The user acknowledges that he/she has no rights in the App or such materials, except the right to use this App in accordance with these terms of use.

You may not make copies of the App or transfer any rights in the App to any third party in any way. Neither the content of the App nor the material on which it is based may be modified, adapted, disassembled, decoded, decompiled, reverse engineered, corrected or altered in any way.

Valora may, at its sole discretion, transfer or otherwise dispose of the license or the rights and obligations it entails at any time to any affiliated company or third party.

5. Publication of own content by users

Insofar as content published by the user within the App (e.g. ratings) enjoys copyright protection, the user grants Valora all rights of use to the content required by Valora for publication and dissemination of the content. These rights of use are unlimited in terms of time, space and content and irrevocably entitle Valora to transfer the content and rights of use to third parties. The rights of use granted include, in particular, the right of reproduction, the right of modification, the right of distribution as well as the right of public reproduction and making available to the public. The user warrants being able to dispose of the aforementioned rights in the described manner and waives the right to be credited as the author.

6. Availability of the App

The App is provided free of charge as a Progressive Web App (PWA) under https://limitedapp.ch. Valora is committed to ensuring the highest possible level of uninterrupted availability of App services. Nevertheless, Valora does not guarantee uninterrupted service, the availability of the service at a certain time or the completeness and accuracy of the App’s content. Access to the network and the Internet is therefore beyond Valora’s control and responsibility.

Valora may, at any time and for any reason, disable, restrict or modify the functionality of this App, in whole or in part, temporarily or permanently, or maintain or update the App.

7. Other provisions

7.1 Liability

To the extent permitted by law, Valora shall not be liable for any damage incurred by the user or a third party in connection with the use of the App, for the suspension, interruption or unavailability of the App, or for any damage to or alteration of the user’s terminal equipment as a result of the installation or use of this App.

7.2 Termination

Either party may terminate these Terms of Use at any time with immediate effect. Valora may block or terminate accounts in the event of misuse or breach of these Terms of Use. After termination of these Terms of Use, regardless of the legal reason and by which party, the user cannot assert any claims arising from the App (e.g. unredeemed coupons).

7.3 Changes

Valora may change these Terms of Use at any time. Changes shall become effective if the user accepts them as part of an update or in any other form or continues to use the App after having been informed of the changes. In the event of any ambiguity or contradictions among the various language versions of the Terms of Use, the German version shall always prevail.

7.4. Applicable law and place of jurisdiction

These Terms of Use are governed by Swiss substantive law. Jurisdiction over all disputes between Valora and the user is hereby assigned exclusively to the competent courts of the user’s domicile or (at the user’s option, in the case of actions against Valora) Basel-Stadt.
